Article 1: Definitions and Applicability of the General Terms and Conditions

1.1 In these general terms and conditions, the following definitions apply:

1.1.1 Glow Experience: The seller;

1.1.2 Contracting Party: Any legal entity or natural person;

1.1.3 Client: Any contracting party that has a contractual relationship based on a purchase or     rental agreement concluded with Glow Experience, as well as any other contracting party           wishing to enter into a different agreement with Glow Experience;

1.1.4 Event: The upcoming event in which the Client intends to use Glow Experience products;

1.1.5 Final Delivery Date: The definitive delivery date by which Glow Experience must deliver         its products so that Clients can still use them during an event where the products will be             utilized;

1.1.6 Emergency Agreement: An agreement concluded with a maximum term (until the final        delivery date) of less than 30 business days.

1.2 These general terms and conditions apply to any offer, quotation, agreement, and commitment resulting from an agreement with a Client concluded by Glow Experience. If the Client also requests other products or services subject to specific general terms and conditions, these shall also apply to the agreement concluded between the Client and Glow Experience.

1.3 Deviations from these general terms and conditions are only applicable if explicitly agreed upon in writing by Glow Experience and the Client and apply only to the specific agreements referenced by the deviations, such as the Partners Program.

1.4 If the Client declares the applicability of its own general terms and conditions to an agreement concluded with Glow Experience or refers to them, Glow Experience does not accept such terms and conditions, and Glow Experience’s general terms and conditions shall prevail unless explicitly agreed otherwise in advance.

1.5 The Client was informed of these general terms and conditions in advance, and they can always be consulted on the website as well as in quotations, offers, and budgets sent in PDF format.

1.6 Everything established in these general terms and conditions and in any future agreement regarding Glow Experience also applies to intermediaries and other third parties contracted by Glow Experience.

Article 2: Offers and Quotations

2.1 All offers and/or quotations from Glow Experience are non-binding and may be withdrawn by Glow Experience at any time, even if they include an acceptance period. Offers/quotations may also be withdrawn in writing (including fax or electronically sent acceptance) by Glow Experience at any time after receiving acceptance, in which case no agreement between the parties is concluded.

2.2 Offers and/or quotations can only be accepted in writing (including fax or electronically sent acceptance). However, Glow Experience is authorized to accept an oral acceptance as if it had been made in writing. A binding agreement is concluded between the parties when the Client receives a confirmation from Glow Experience via email.

2.3 Glow Experience reserves the right, concerning offers and/or quotations involving special or customized items for the Client, to increase or decrease the number of items within a maximum margin of 10% of the requested quantity and to invoice this amount if necessary due to technical production reasons.

2.4 Everything established in sections 1 to 3 above also applies to additional work calculated by Glow Experience, including installation work outside normal business hours and the provision of additional facilities. Minor work must always be agreed upon in writing.

2.5 Without prejudice to the provisions of Article 3 and any explicit written agreement to the contrary, measurements, weights, and other indicated data are as reliable as possible estimates.

Article 3: Cancellation

3.1 After receiving an order confirmation from Glow Experience, an order cannot be canceled or modified without written permission from Glow Experience.

3.2 Cancellation or modification requests can only be made by the signatory of the order confirmation.

Article 4: Price

4.1 All prices used by Glow Experience are based on price-determining factors as applied at the time the offer/quotation was made.

4.2 Unless explicitly agreed otherwise in writing, the prices indicated by Glow Experience always exclude VAT, customs duties, local taxes, project costs, delivery, shipping, and packaging costs.

4.3 Glow Experience is authorized to change prices or parts thereof for undelivered items and/or services not yet provided, according to price-determining factors such as raw material costs, wages, taxes, production costs, exchange rates, etc.

4.4 Glow Experience is always authorized to immediately adjust prices if a legally determining price factor justifies it.

4.5 If customs duties, local taxes, or other costs corresponding to the Client’s part are invoiced to Glow Experience for administrative reasons, these costs will be invoiced to the Client.

4.6 When items are shipped as rentals to the Client, the Client must arrange for their return within 3 business days after the event. The Client is responsible for any damage or loss of the goods. If the goods are not returned within 3 business days, the rental fee will be charged again for each subsequent 3-business-day period until the goods are received by Glow Experience.

4.7 If it is agreed that Glow Experience will provide the return shipping label, the Client must always return the goods in the same packaging in which they were received. Any additional costs due to volumetric weight or packaging differences will be charged to the Client.

4.8 Fees for non-returned items: Control console €11,999.

4.9 The deposit paid for rental goods will be credited within 5 business days of receiving the goods at Glow Experience. The Client must always have a tracking number as proof. The shipping to Glow Experience and any damage incurred during transport is the Client’s responsibility.

4.10 Payments are only accepted in the currency indicated on the invoice. Invoices in all currencies are possible, but the price may be reindexed to the euro on the payment date. Any transaction costs will be borne by the Client.

4.11 The discount for receiving images and/or videos will be credited upon receipt of the images by Glow Experience if:

4.11.1 The images are delivered within 14 days after the event.

4.11.2 The images meet Glow Experience’s requirements, which have been sent electronically.

Article 5: Payment

5.1 Glow Experience is always authorized to request a guarantee from the Client to ensure the proper and timely fulfillment of payment obligations.

5.2 If delivery is made in installments, each installment may be invoiced separately by Glow Experience unless otherwise agreed in writing with the Client.

5.3 Glow Experience is always authorized to charge for additional work agreed upon in Article 2 of these General Terms and Conditions and to invoice these costs.

5.4 Payment of the net amount must be made in cash within seven days from the invoice date. The Client should note that Article 6, Section 1, takes precedence over this standard period.

5.5 If the Client fails to pay within the agreed payment period, Glow Experience will take the following measures:

5.5.1 Invoice due date + 7 days: Reminder

5.5.2 Invoice due date + 14 days: Reminder + €15 administrative fee

5.5.3 Invoice due date + 21 days: Summons/notice of default. The Client will be in default by       law. In this case, the Client must pay legal commercial interest. The interest on the overdue         amount will be calculated from the moment the Client is in default until the total amount is         paid.

5.5.4 Invoice due date + 30 days: Transfer to a debt collection agency.
